The Board of Directors in conjunction with the Members, the Board is responsible for overall policy and direction of the organization, and delegates responsibility for day-to-day operations to the Organization's Director and committees.
The specific duties of the Board shall include, but not limited to the following:
(a) Approving the budget for the organization and any major expenditure of funds which may be recommended by the Director.
(b) Evaluating and approving policies relating to the operation of the organization to ensure that the organization is governed in a manner best suited to serve it Members.
(c) Reviewing the Director's reports on the status and progress of the organization and advising the Director of any recommended changes in the organization.
(d) Selecting the Officers who will serve on the Executive committee.
(e) Appointing successors for Board members who resign or are removed.
(f) Making decisions concerning the general business of the organization when there is a conflict with the Members under this section para C.
(g) Enhancing the Organization's public image by helping to articulate the organization's mission, accomplishments and goals, as well as gathering support from the community.
(h) Working in partnership with the Director and Fundraising Committee to raise funds from the community.
The board receives no compensation.
Board meetings are quarterly in the Madison area.
